1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and MorphID.ai ("MorphID," "Company," "we," "us," or "our"). By creating an account, accessing, or using the MorphID platform, website, API, or any related services (collectively, the "Service"), you agree to be bound by these Terms.

If you are using the Service on behalf of an organization (such as a law enforcement agency, government body, or private entity), you represent and warrant that you have authority to bind that organization to these Terms, and "you" refers to that organization.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

MorphID.ai is a forensic-grade face transformation and identity simulation platform. The Service enables authorized users to:

• Upload facial images for AI-powered analysis
• Generate identity transformations including aging, disguise simulation, weight changes, gender transformation, and regional appearance variants
• Create identity timelines simulating appearance over time
• Perform reverse disguise analysis (identity reconstruction)
• Generate forensic PDF reports for investigative documentation
• Save, manage, and organize investigation case files

The Service utilizes artificial intelligence models and is intended as a simulation and analytical tool. Generated images are approximations and should not be treated as forensic evidence without independent verification by qualified professionals.

3. Eligibility

• You must be at least 18 years of age to use the Service.
• You must not be located in a jurisdiction where use of facial recognition or biometric processing technology is prohibited.
• You must not have been previously suspended or banned from the Service.
• If using the Service for law enforcement purposes, you must be an authorized representative of a legitimate law enforcement agency and must comply with all applicable laws governing facial recognition technology in your jurisdiction.

4. Account Registration & Security

You must create an account to access the Service. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are used for prohibited activities.

5. Acceptable Use Policy

5.1 Permitted Uses

The Service is designed for legitimate purposes, including:

• Law enforcement investigations and missing persons cases
• Forensic research and academic study
• Security and risk assessment by authorized organizations
• Personal curiosity and entertainment (non-harmful)
• Film, media, and entertainment production with appropriate consent

5.2 Prohibited Uses

You may NOT use the Service to:

• Harass, stalk, intimidate, or threaten any individual
• Impersonate another person or create fraudulent identity documents
• Create non-consensual intimate imagery (NCII), deepfakes for sexual exploitation, or pornographic content
• Commit fraud, identity theft, or any criminal activity
• Discriminate against individuals based on race, ethnicity, gender, religion, sexual orientation, disability, or any protected characteristic
• Conduct mass surveillance or biometric profiling without lawful authority and appropriate legal basis
• Process images of minors (individuals under 18)
• Reverse-engineer, decompile, or extract AI model weights, training data, or proprietary algorithms
• Circumvent usage limits, security measures, or access controls
• Generate disinformation or manipulated media intended to deceive the public
• Resell, sublicense, or white-label the Service without written authorization

5.3 Consent for Third-Party Images

If you upload an image of a person other than yourself, you represent and warrant that you have obtained lawful authority to process that image. For law enforcement users, this may include a valid court order, warrant, or other legally recognized authorization. We are not responsible for verifying that you have such authority, and you agree to indemnify us against any claims arising from unauthorized image uploads.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its software, algorithms, AI models, user interface, design, logos, and documentation, is owned by MorphID.ai and protected by intellectual property laws. Nothing in these Terms grants you ownership of any part of the Service.

6.2 Your Content

You retain ownership of images you upload to the Service. By uploading content, you grant us a limited, non-exclusive, non-transferable license to process, store, and transform the image solely to provide the Service to you.

6.3 Generated Output

AI-generated transformation images, timelines, and reports created through the Service are provided to you for your authorized use, subject to these Terms. You may use generated outputs for legitimate investigative, research, or personal purposes. You may not claim that AI-generated images are authentic photographs of real individuals.

6.4 Feedback

Any suggestions, ideas, or feedback you provide about the Service may be used by us without obligation or compensation to you.

7. Subscription, Billing & Free Tier

7.1 Free Tier

The Service offers a free tier with limited daily generation credits. Free tier users are subject to usage limits that may change at our discretion.

7.2 Paid Plans

Paid subscriptions provide increased usage limits and premium features. Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law.

7.3 Changes to Pricing

We may change subscription pricing with at least 30 days' prior notice. Price changes will take effect at the beginning of your next billing cycle.

7.4 Cancellation

You may cancel your subscription at any time. You will retain access to paid features through the end of your current billing period.

8. AI Output Disclaimer & Accuracy

THE SERVICE USES ARTIFICIAL INTELLIGENCE TO GENERATE SIMULATED FACIAL TRANSFORMATIONS. THESE OUTPUTS ARE APPROXIMATIONS AND ARE NOT GUARANTEED TO BE ACCURATE REPRESENTATIONS OF HOW A PERSON WOULD ACTUALLY APPEAR.

• Generated images are simulations, not photographs or verified forensic evidence.
• AI confidence scores and probability metrics are estimates and should not be used as the sole basis for any legal, investigative, or judicial decision.
• Age progression, de-aging, and disguise simulations involve inherent uncertainty and may not reflect actual physical changes.
• Regional appearance transformations are generalizations and do not represent any specific individual.
• Users are responsible for independently verifying any AI-generated output before acting on it.

9. Law Enforcement & Forensic Use Disclaimer

While MorphID.ai is designed to assist law enforcement and forensic investigations, we make the following disclaimers:

• The Service is a supplementary investigative tool, not a substitute for professional forensic analysis.
• AI-generated outputs should not be used as the sole basis for arrest, detention, identification, or prosecution.
• Users are responsible for ensuring their use of the Service complies with all applicable laws, regulations, and departmental policies governing facial recognition technology.
• We do not guarantee admissibility of any Service output in legal proceedings.
• Some jurisdictions prohibit or restrict the use of facial recognition technology by law enforcement. It is your responsibility to verify legal compliance in your jurisdiction before using the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MORPHID.AI, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from reliance on AI-generated outputs, including investigative decisions based on generated images
• Damages resulting from unauthorized access to or alteration of your data
• Claims by third parties resulting from your use of the Service

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless MorphID.ai, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any applicable law, regulation, or third-party right (including privacy, biometric, and intellectual property rights)
• Images you upload or content you generate using the Service
• Any claim by a third party that their image was processed without authorization

12. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE DISCLAIM ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR TRADE USAGE.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy or reliability of any AI-generated output.

13. Termination

13.1 By You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Termination does not entitle you to a refund of prepaid fees.

13.2 By Us

We may suspend or terminate your access to the Service immediately, without prior notice, if:

• You breach these Terms or the Acceptable Use Policy
• We are required to do so by law or a court order
• We reasonably believe your use poses a risk of harm to others or to the Service
• Your account has been inactive for more than 12 months

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy and applicable retention schedules.

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

14.2 Arbitration

Any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, and the arbitrator's award shall be final and binding.

14.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

14.4 Exceptions

Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

15. EU AI Act Compliance

We recognize that facial recognition and biometric processing systems may be classified as "high-risk AI systems" under the European Union Artificial Intelligence Act (EU AI Act). Accordingly:

• We maintain transparency about the AI models and methods used in the Service
• Generated outputs include confidence scores and disclaimers regarding their simulated nature
• We provide human oversight capabilities — all outputs require human review and interpretation
• We maintain documentation of our AI system's capabilities and limitations
• Users in the EU are informed that real-time biometric identification in public spaces is prohibited under the EU AI Act, and the Service must not be used for such purposes

16. Export Controls & Sanctions

The Service may be subject to export control and sanctions laws of the United States and other jurisdictions. You agree not to export, re-export, or transfer the Service or any technical data to any country, entity, or person prohibited by applicable export control or sanctions laws.

17. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and MorphID.ai regarding the Service and supersede all prior or contemporaneous agreements, understandings, and communications.

19. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email and/or an in-app notification at least 30 days before they take effect. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.
